Non Brokered Private Placement

 Vancouver, B.C.: Bell Copper Corporation ("Bell Copper" or the "Company") (TSX-V Symbol: BCU) announces that due to the conversion ratios of the recently completed business combination among Bell Resources Corporation, Grandcru Resources Corporation and Rogue River Resources Corp. to form Bell Copper Corporation (the "Business Combination"), the Bell Resources offering (the "Bell Resources Offering") announced on April 4, 2008 for the sale of 4,500,000 units at a price of CDN$0.35 per unit to raise gross proceeds of CDN$1,575,000 will have an effective price of CDN$0.70 per unit. In order to bring the Bell Resources Offering in line with the current market, the Company will, subject to regulatory approval, amend the terms of the Bell Resources Offering to 3,150,000 units at a price of CDN$0.50 per unit to raise gross proceeds of CDN$1,575,000. Each unit will consist of one common share and one half of one share purchase warrant, with each full warrant entitling the holder to acquire one additional common share of the Company at a price of CDN$0.75 per common share for a period of one year from closing. The proceeds of the private placement will be used for general working capital.

The Company will pay a cash commission to various finders in accordance with the policies of the TSX Venture Exchange. The private placement is subject to TSX Venture Exchange acceptance.

The Company also announces that due to changing market conditions, Bell Copper and Foundation Markets have mutually agreed to terminate the offering announced on April 17, 2008.

Further to the Company's strategic plan to focus on copper assets in the Americas, it has terminated its option on the Danny Boy prospect in Nevada.
